General Terms and Conditions
HD Dynamica
Article 1 | Definitions
HD Dynamica: Seller/contractor established at Leuvensesteenweg 230, 3370 Boutersem, Belgium, VAT BE0777.284.061.
Customer: Buyer/client who enters into an agreement with HD Dynamica.
Consumer: Customer who does not act in the exercise of a profession or business.
Business Customer: Customer who acts in the exercise of a profession or business.
Delivery: Making goods or services available ready for use.
Article 2 | Applicability
These general terms and conditions apply to all offers, quotations, agreements and deliveries of HD Dynamica.
Deviations are only valid if agreed in writing. If a provision is null or voidable, the remaining provisions
remain in force.
Article 3 | Intellectual Property
HD Dynamica retains all intellectual property rights to provided designs, drawings, and documentation.
It is not permitted to copy or disclose these materials without written permission.
Article 4 | Quotations and Cancellation Policy
Quotations are valid for 1 month from the date of creation. In case of cancellation by the
customer, compensation is due:
- Consumer: maximum 20% of the total amount
- Business: maximum 25% with a minimum of €75
In accordance with Belgian law’s mirror image theory, the consumer is entitled to equivalent compensation
if HD Dynamica unilaterally terminates the agreement.
Article 5 | Formation of Agreement
The agreement is concluded and becomes a binding purchase order after the customer signs
the quotation. For remote acceptance, the agreement is only binding after written confirmation by HD Dynamica.
Article 6 | Delivery Times and Product Characteristics
All specified deadlines are indicative and depend on the supply chain:
- PVC/Laminate: several days to 3 months
- Tiles: at least 1 month
HD Dynamica is not liable for delays caused by suppliers or carriers.
Product Characteristics: Slight color, texture or batch variations compared to showroom
samples are inherent to production processes and do not entitle to compensation or termination.
Article 7 | Work Location and Unforeseen Costs
The customer ensures an accessible, cleared work location with water and electricity. Parking costs,
costs for parking bans or permits are at the customer’s expense.
Cancellation of works less than 5 working days in advance:
- Consumer: €125 per day per employee
- Business: €250 per day per employee
Substrate: If after removal of the existing floor it appears that the substrate requires
additional preparation or leveling not included in the quotation, these works will be charged on a
time-and-materials basis.
Article 8 | Force Majeure
In case of force majeure (strikes, transport disruptions, pandemics), HD Dynamica reserves the right
to suspend or terminate the agreement without compensation.
Article 9 | Liability
HD Dynamica is not liable for damage to pipes or utilities, unless the correct locations were
communicated in writing in advance by the customer.
We are not responsible for indirect damage or loss of profit, except in case of intent or gross negligence.
Article 10 | Complaints Procedure
Visible defects must be reported immediately upon delivery. Other complaints within 21 days.
For renovations, the customer must report errors or modifications within the period of the outstanding
final invoice (14 days after delivery).
Article 11 | Payment, Invoicing & Peppol
Digital Invoicing (Peppol)
In accordance with Belgian legislation of 2026, invoicing to Business Customers is mandatory in
structured XML format via the Peppol network.
Payment Structure
Down payment of 30% of the total amount (goods ordered for the customer must be
100% paid within this amount). For renovations, a weekly interim invoice is prepared. Upon delivery,
10% of the total amount remains outstanding as final invoice, payable within 14 days.
Collection
Consumers: The first reminder is free. After 14 days, legal interest and compensation
are charged in accordance with the Belgian Code of Economic Law.
Business Customers: In case of late payment, an interest rate of 4% per month and
10% compensation (minimum €75) applies.
Article 12 | Retention of Title
Delivered goods remain the property of HD Dynamica until full payment of all invoices has been made.
Article 13 | Disputes and Applicable Law
Belgian law applies to all agreements. Disputes with consumers are handled by the
court of their place of residence.
For business customers, exclusively the courts of Leuven, Belgium have jurisdiction.
